Corporate law in Spain offers a structured and comprehensive framework for forming, managing, and expanding businesses. This legal domain is governed by both national legislation and European Union directives, ensuring consistency with international business standards while reflecting Spain’s unique commercial and legal environment. Spain has become a preferred destination for foreign investors, startups, and multinational corporations, not only because of its strategic location within the EU but also due to its modern infrastructure, robust legal system, and flexible corporate structures. At Gimbrere Legal, our experienced attorneys assist both domestic and international clients in understanding and navigating Spain’s corporate legal landscape, ensuring successful business operations and strategic legal compliance.
For staffing or unpaid business invoices, also see Spanish employment law and Spanish debt collection.

At the heart of Spanish corporate legislation is the Capital Companies Act (Ley de Sociedades de Capital), which governs the creation, functioning, and dissolution of corporate entities. The law recognizes several corporate forms, with the most common being the sociedad limitada (S.L.) and the sociedad anónima (S.A.). These structures offer limited liability to their shareholders, making them attractive options for entrepreneurs and investors alike. The S.L. is frequently chosen by small and medium-sized enterprises due to its simplicity and lower capital requirements. The S.A., on the other hand, is more suitable for larger enterprises that may wish to issue shares publicly or attract significant investment. Each legal form has its own regulatory requirements concerning minimum capital, management structure, and reporting obligations. Spanish corporate law also ensures transparency and accountability through mandatory annual reporting, corporate recordkeeping, and disclosure requirements, thereby fostering a trustworthy business environment.
Gimbrere Legal provides clients with a thorough understanding of these legal requirements, tailoring our advice to suit the client’s business goals and sector-specific challenges.
Incorporating a Spanish company involves checking the company name, preparing the articles, identifying the founders and obtaining the appropriate tax identification numbers. Since 19 October 2022, the minimum share capital of an S.L. is EUR 1, rather than EUR 3,000. While capital remains below EUR 3,000, at least 20% of profits must be allocated to the statutory reserve until capital and that reserve together reach EUR 3,000; shareholders also face a specific joint liability rule for the shortfall in a liquidation where assets are insufficient. The minimum capital of an S.A. remains EUR 60,000, with separate rules on initial payment. Cash contributions must be evidenced in the legally permitted manner; a bank-deposit certificate is not universally required for an S.L. The notarial deed and registration in the Mercantile Registry must be completed, together with applicable tax and employment registrations. Gimbrere Legal coordinates the legal process with notaries and other relevant professionals.

A well-structured system of corporate governance is essential for the long-term success and legal security of any business. Spanish corporate law provides for various management models, including sole administrators, joint administrators, and boards of directors. The choice of model depends on the size and complexity of the business as well as the preferences of the shareholders. The law requires that key decisions—such as amendments to the articles of association, capital changes, and mergers—be approved by the shareholders during properly convened general meetings. Board meetings and shareholder meetings must be documented accurately, and meeting minutes must be signed and stored securely. Moreover, directors have fiduciary duties toward the company, including the duty of loyalty and diligence. They are legally obliged to act in the best interest of the company and may face personal liability for decisions that cause harm to the business or its creditors. This includes liability in cases of insolvency, fraud, or gross negligence. At Gimbrere Legal, we help companies implement internal compliance mechanisms that align with best practices in governance and risk management. We also advise directors on their legal responsibilities and represent them in liability disputes when necessary.

In addition to the articles of association, many Spanish companies opt to enter into private shareholder agreements that regulate internal relationships, voting rights, transfer restrictions, profit distribution, and dispute resolution mechanisms. These agreements are particularly useful in companies with multiple owners or family-owned businesses where conflicts can arise over strategic direction or inheritance matters. Although not mandatory, shareholder agreements are legally binding under Spanish civil law and offer a flexible tool for managing internal dynamics. For example, they can include provisions for drag-along and tag-along rights, non-compete clauses, and succession planning. Gimbrere Legal specializes in drafting, reviewing, and negotiating shareholder agreements that reflect each party’s intentions and reduce the risk of future conflict. Our preventive approach is rooted in a deep understanding of corporate litigation, enabling us to anticipate and address issues before they escalate into costly legal disputes.
Spanish corporate law accommodates a range of structural modifications that allow businesses to adapt to changing market conditions. This includes capital increases or reductions, share buybacks, spin-offs, mergers, and conversions from one corporate form to another. Each of these operations requires strict compliance with procedural rules, including the drafting of formal resolutions, valuation of contributions, notification to shareholders and creditors, and registration of changes with the Mercantile Registry. In certain cases, the law requires the involvement of independent experts, particularly in mergers and acquisitions. These structural changes can have significant legal, tax, and commercial implications. Gimbrere Legal provides comprehensive legal and strategic support for corporate reorganizations, ensuring that clients comply with all legal obligations while optimizing the corporate structure to support growth, protect assets, and achieve long-term objectives.
Spain’s integration in the European Union makes it an attractive jurisdiction for cross-border trade and investment. Businesses operating internationally often choose to establish subsidiaries or branches in Spain to take advantage of access to the European market, favorable tax treaties, and robust legal protections. Cross-border mergers are also governed by EU law, and Spanish legislation provides a clear framework for such operations, including employee consultation and creditor protection. At the same time, foreign investments in certain sectors may be subject to screening or prior authorization under national security regulations. At Gimbrere Legal, we advise international clients on structuring their Spanish operations efficiently, whether through incorporation, acquisition, or joint ventures. We assist in navigating the complexities of local substance requirements, intercompany agreements, and compliance with EU and domestic regulations. Our legal support ensures that cross-border operations are not only compliant but also aligned with strategic business goals.
Companies in Spain are subject to ongoing compliance obligations, including filing annual accounts, maintaining corporate books, paying corporate income tax, and adhering to labor and environmental laws. Additionally, the Spanish Criminal Code includes provisions on corporate criminal liability, making it crucial for companies to implement internal compliance programs. Failure to comply with these legal obligations may result in administrative fines, criminal prosecution, or loss of business licenses. At Gimbrere Legal, we work with clients to build robust compliance frameworks that mitigate risk and demonstrate good corporate citizenship. Our services include compliance audits, internal policy development, and employee training on legal and ethical standards. We also represent companies in administrative proceedings and provide legal defense in the event of investigations by tax authorities, data protection agencies, or labor inspectors.

An S.L. is one possible structure, but suitability depends on activities, ownership, risk and financing. Incorporation and ongoing legal, accounting and tax obligations should be considered together.
Consider decision-making, funding, management roles, profit distribution, share transfers, exits and deadlock resolution. The agreement should be coordinated with the articles and applicable company law.
Review the company’s ownership, accounts, contracts, employees, licences, litigation and liabilities. The findings should shape the acquisition terms, warranties and any completion conditions.
In some circumstances, yes. The company’s legal form does not remove directors’ duties or liability arising from conduct, guarantees or specific statutory obligations. Early advice is especially useful if the company faces financial difficulties.
Prepare the articles, shareholder agreement, ownership details, meeting notices, resolutions and relevant correspondence. Include accounts and explain which decisions, rights or proposed transfers are disputed.
If you need advice, help or representation from an experienced lawyer, Gimbrere Legal is here for you. We meet clients at our offices and country-wide and world-wide via video conference meetings wherever in the world you are.
